Market-Based Pricing

Through our partnership with Numeria Management LLC, we provide corporate pricing services to firms that want an objective, independent and robust valuation opinion before pursuing corporate or capital transactions.

By corporate transactions we mean the purchase or sale of a business or joint venture interest, as well as recapitalizations or restructurings that involve a change in ownership or collateral interests. Capital transactions, on the other hand, typically involve the issuance – or purchase – of equity, debt, or derivative securities.

We measure value in context, which means we consider the circumstances of a potential transaction rather than mere spot market prices. And when appropriate, we recommend ways to protect or enhance the value to be realized. We do not, however, raise capital, broker deals, or sell bundled services that could in any way impair the objectivity of our advice.

Typically we work with the CEO, CFO or the board of directors, who demand and receive the following:

  1. Results, with a clear understanding of our opinion’s derivation, acceptable tolerances, and limitations;
  2. Confidence that our opinion is accurate and bias-free, especially from conflicts of interest like fees contingent on transaction outcomes; and
  3. Advice during transaction negotiations or when value enhancement steps, which stem from our work, are taken.
